Dear NGO friends and colleagues,
We wish to share with you the latest business deadline for non-profit organisations.
The amnesty on the late filing of the Return of Beneficial Interest in the Shares of a Company ends on 30th September, 2020. If you need help completing this process, please let us know.
In March of this year, we hosted an informational event on Understanding Beneficial Ownership – feel free to download slides here
In 2019, new legislation was introduced which states that no person is permitted to operate a Non-Profit Organisation (NPO) in Trinidad and Tobago, unless the NPO is registered under Non-Profit Organisation Act, 2019.
That Act states that a Non-Profit Company registered under the Companies Act,1995 is deemed to be registered as a NPO under the Non-Profit Organisation Act, 2019. However, although the Non-Profit Company deemed to be registered, it is required to submit prescribed documents to the Companies Registry.
This Registration was required to be completed by April 22, 2020. However, an amnesty has been granted until September 30, 2020. Failure to submit the necessary documents to the Companies Registry by September 30, 2020, may result in each director of the Non-Profit Company being liable to a fine of $50,000 and imprisonment for 7 years.
